1. Agreement to Terms & Modifications

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

We reserve the right to modify these Terms at any time. We will indicate the date of the last revision at the top of this page. It is your responsibility to review these Terms periodically. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.

For material changes, we may notify you via email or through the Service interface, but we are not obligated to do so. Continued use of the Service after any modification implies your agreement to the updated Terms.

2. Definitions

• "Service" refers to the DodoRouter LLM proxy and routing platform.
• "Model Provider" refers to entities developing or providing AI models (such as Anthropic, OpenAI, Google, Moonshot, Zhipu AI).
• "User", "You" refers to anyone accessing or using the Service.
• "We", "Us", "Company" refers to Foxwise AI FZ-LLC.

3. Description of Service

DodoRouter provides an LLM proxy and routing infrastructure featuring:

• API proxying with automatic failover and routing chains
• Request logging, analytics, and monitoring
• Credential management for multiple LLM providers
• OpenAI-compatible API endpoints

4. API Access & Credential Management

The Service may store and relay API credentials for third-party Model Providers on your behalf. You retain full ownership and responsibility for your accounts with Model Providers. We act solely as an intermediary and assume no liability for actions taken by Model Providers regarding your accounts.

5. Prohibited Use & Competitor Restrictions

Access to the Service is prohibited for:

• Direct competitors of Foxwise AI FZ-LLC
• Employees, contractors, or agents of Model Providers accessing the Service for competitive intelligence, benchmarking, or investigative purposes
• Any person or entity engaged in benchmarking, mystery shopping, reverse engineering, or unauthorized investigation of the Service

Violation of these restrictions constitutes a material breach and will result in immediate termination without refund.

6. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We assume no responsibility for any data loss, corruption, or unintended consequences arising from the use of the Service, including but not limited to:

• Errors or omissions in LLM responses routed through the Service
• Downtime or unavailability of upstream Model Providers
• Loss of API credentials or authentication tokens

7. Fees & Non-Refundability

All fees paid for the Service are non-refundable. No credits, refunds, or adjustments will be issued for any reason, including but not limited to:

• Service downtime or interruptions
• Account suspension or termination
• Third-party Model Provider outages or account restrictions

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

9. Service Evolution & Termination

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We may also terminate your access if external factors (regulatory changes, third-party restrictions, economic conditions) make continued service provision excessively onerous.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

ARBITRATION AGREEMENT: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its arbitration rules. The arbitration shall take place in Dubai, UAE, and shall be conducted in English.

CLASS ACTION WAIVER: You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action, class arbitration, or any other representative proceeding.
